TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the Parasocials website, application, and related services (collectively, the "Service") provided by Parasocials ("Parasocials," "we," "us," or "our"). Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms.

1. Agreement to these Terms

By accessing or using Parasocials, you accept these Terms. If you do not agree to these Terms, you must not access or use the Service. We may update these Terms from time to time; your continued use of the Service after an update takes effect constitutes your acceptance of the updated Terms.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also acknowledge and agree to the Privacy Policy.

2. Who we are

Parasocials operates the Service at https://app.parasocials.app. We are based in the United States. For any questions about these Terms or the Service, please contact us at [email protected].

3. The Service

Parasocials is a clip platform for Twitch streamers and clip channels. The Service automatically detects viral moments from monitored streams, lets users create and edit short-form video clips, and offers webhooks and API keys for connecting to automation tools. The Service is provided as a web application; we do not currently offer downloadable software.

Beta and experimental features. Some features may be offered in beta, alpha, or limited release. We provide no warranty regarding the functionality, reliability, performance, or continued availability of beta features. We may modify, suspend, or discontinue any feature, in whole or in part, at our discretion and at any time, with or without notice.

4. Eligibility

You must be at least 13 years old to use Parasocials. The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13 (in compliance with the Children's Online Privacy Protection Act, or "COPPA").

If you are between 13 and 18 years of age (or the age of majority in your jurisdiction, if higher), you represent that you have obtained the consent of a parent or legal guardian to use the Service and to be bound by these Terms.

Account creation requires sign-in through Discord, which imposes its own age requirements. By using the Service, you represent that you meet Discord's eligibility requirements as well.

5. Your account

You create a Parasocials account by signing in with Discord OAuth. You are responsible for all activity on your account and for safeguarding your Discord credentials. We are not liable for any loss or damage arising from your failure to do so.

You may not sell, transfer, share, sublicense, or assign your Parasocials account or profile to any third party. Accounts are tied to a specific Discord identity and are not transferable. We may suspend or terminate accounts that violate these Terms.

You may close your account at any time by emailing [email protected]. Upon closure, your right to use the Service ends; clauses that by their nature should survive termination will continue to apply (see Section 15).

6. Subscription plans, billing, and auto-renewal

Parasocials offers three plan tiers:

  • Trial — a permanent free tier with watermarked downloads. This is not a time-bounded free trial; you may use the Trial tier indefinitely without payment.
  • Basic — a paid subscription tier with expanded quotas and features.
  • Pro — the top paid tier, including API keys, webhooks, auto-captions, and other advanced features.

Paid plans are billed monthly in US Dollars (USD) through Stripe. We accept Visa, Mastercard, American Express, and Discover. We do not currently accept other payment methods.

Auto-renewal disclosure. By subscribing to a paid plan, you authorize Parasocials, through Stripe, to charge your designated payment method on a recurring monthly basis until you cancel. We will charge the then-current price for your plan at the start of each billing cycle. Prices may change; if we change pricing for an existing subscription, we will provide at least 30 days' advance notice by email to the address associated with your account before the new price takes effect.

Cancellation timing. Cancellation takes effect at the end of your current billing period. You retain access to paid features through the end of the period you have already paid for. No further charges will be made after cancellation.

7. Cancellation and refunds

You can cancel your subscription at any time, on a self-serve basis, by visiting your account page at /account and clicking "Manage billing" to open the Stripe Customer Portal. From the Portal, you can cancel your subscription, update your payment method, view invoices, or download receipts.

All sales are final. We do not offer refunds for partial months, downgrades from a higher tier to a lower tier, accidentally unused features, or any other reason. We may, at our sole discretion, issue refunds for billing errors, duplicate charges, or other extraordinary circumstances.

Mandatory consumer rights are preserved. Where applicable consumer-protection law in your jurisdiction grants you mandatory refund or withdrawal rights that cannot be waived (for example, the 14-day right of withdrawal under the EU Consumer Rights Directive 2011/83/EU), those rights are preserved and prevail over conflicting provisions of these Terms.

8. Your content (clips)

The clips you create on Parasocials are yours. We do not claim ownership of your clips.

However, in order to operate the Service, we need permission to host, process, transcode, store, and deliver your clips back to you. By creating clips on Parasocials, you grant Parasocials a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, transcode, modify, display, distribute, and deliver your clips solely for the purposes of operating the Service for you and complying with applicable law. This license ends when you delete the clip or close your account, except to the extent that processing is reasonably required for backup retention or legal compliance.

Your representations and warranties about clips. You represent and warrant that, for each clip you create on Parasocials, you have all necessary rights, permissions, licenses, and authority to create and use that clip, including any rights or permissions required from streamers, content creators, copyright holders, or other third parties whose content is captured in the clip. You acknowledge that Twitch streams and the content of those streams remain the intellectual property of their original creators and that you are responsible for clipping in a manner consistent with Twitch's Terms of Service and applicable copyright law.

We may remove clips that we reasonably believe violate these Terms, infringe third-party rights, or violate applicable law. If you believe content on Parasocials infringes your copyright, please follow the procedure in our DMCA Policy.

9. Acceptable use

You agree not to:

  • Sell, transfer, share, sublicense, or assign your Parasocials account or profile to any third party.
  • Use API keys, webhooks, or other developer features to scrape data not intended for the requesting user, circumvent rate limits, or otherwise abuse the Service in ways that degrade performance for other users.
  • Use Parasocials in any manner that violates Twitch's Terms of Service, Discord's Terms of Service, or the intellectual-property rights of streamers, content creators, or other third parties whose content is being clipped or monitored.
  • Harass, threaten, defame, stalk, or abuse other users or any third party.
  • Upload or transmit malware, viruses, or other harmful code; attempt to gain unauthorized access to other accounts, our systems, or related systems; or interfere with the integrity or availability of the Service.
  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of any Parasocials software, except to the limited extent applicable law expressly permits such activity notwithstanding this restriction.
  • Use automated tools (bots, scrapers, crawlers) to access the Service, except through the API endpoints and within the rate limits that we publicly expose.

10. API access (Basic and Pro tiers)

REST API keys and webhook endpoints are made available to users on the Basic and Pro tiers. You may use API keys and webhooks only to integrate Parasocials with your own tools or with third-party services (such as Zapier) that you control or are authorized to use.

Rate limits apply and are subject to change at our discretion. Sustained abuse, scraping, attempts to circumvent rate limits, or any other use inconsistent with these Terms may result in revocation of your API keys without prior notice.

API keys are tied to your account. Sharing or publicly disclosing your API key is a violation of these Terms. You are responsible for all activity that occurs under your API key.

11. Intellectual property

The Parasocials website, application, software, design, branding, trademarks, logos, and any content we create remain the exclusive property of Parasocials and are protected by United States and international intellectual-property law. Nothing in these Terms grants you any right, title, or interest in those properties except as expressly stated.

Your clips remain yours, subject to the license granted in Section 8. Twitch streams and the content captured in those streams remain the property of their original creators.

You may not use the Parasocials name, logo, or branding without our prior written permission, except for nominative fair use (for example, truthfully describing that you are a Parasocials user).

12. Disclaimers and warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARASOCIALS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY.

We do not guarantee that the Service will be uninterrupted, secure, error-free, or that any particular feature will be available at any given time. We do not guarantee that defects will be corrected. We are not responsible for the availability, accuracy, completeness, or content of Twitch streams or any third-party content monitored or captured through the Service. Beta features carry an additional disclaimer per Section 3.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARASOCIALS' TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE LESSER OF:

  • (a) One thousand US dollars ($1,000), OR
  • (b) The total amount you have paid Parasocials in the six (6) months immediately preceding the event giving rise to the claim.

IN NO EVENT WILL PARASOCIALS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR REPUTATION — REGARDLESS OF THE LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Non-waivable claims carve-out. These limitations do not apply to liability for gross negligence, willful misconduct, fraud, personal injury or wrongful death, or any other liability that cannot be limited or excluded under applicable law.

Statute of limitations. Any claim arising out of or related to these Terms or the Service must be brought within one (1) year of the events giving rise to the claim, or it is permanently barred — except where applicable law prohibits a contractually shortened limitations period.

14. Indemnification

You will defend, indemnify, and hold harmless Parasocials and its officers, directors, employees, agents, and affiliates from and against any and all third-party claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • (a) your use of the Service;
  • (b) your clips or other content you submit or generate through the Service;
  • (c) your violation of these Terms;
  • (d) your violation of any third-party rights, including intellectual property rights of streamers, content creators, or other content owners; or
  • (e) your violation of any applicable law or regulation.

15. Termination

You may stop using the Service at any time, with or without notice, by closing your account or simply discontinuing use. We may suspend or terminate your access to the Service, in whole or in part, at our discretion, for any of the following reasons:

  • (a) material violation of these Terms;
  • (b) suspected illegal activity;
  • (c) extended non-payment on a paid plan; or
  • (d) any other reason where suspension or termination is necessary to protect the Service, other users, or our legitimate business interests.

Upon termination, your right to use the Service ends immediately. Any paid amounts are non-refundable, except as required by applicable law or as we may grant at our sole discretion.

Survival. Sections governing intellectual property (Section 11), the user content license and user representations (Section 8), disclaimers (Section 12), limitation of liability (Section 13), indemnification (Section 14), and dispute resolution (Section 16) will survive any termination of these Terms.

16. Dispute resolution, arbitration, and class-action waiver

PLEASE READ THIS SECTION CAREFULLY. It affects how disputes between you and Parasocials are resolved, including by requiring binding individual arbitration and waiving class-action rights, except as expressly provided below.

16.1 Informal resolution first

Most disputes can be resolved quickly by contacting us at [email protected]. You and Parasocials agree to attempt, in good faith, to resolve any dispute through informal negotiation for at least thirty (30) days before initiating any arbitration or formal legal proceeding.

16.2 Binding individual arbitration

If informal resolution does not succeed, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, in Maryland, United States. The arbitrator's decision is final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

16.3 Federal Arbitration Act

This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., and evidences a transaction in interstate commerce.

16.4 Small-claims court carve-out

Either party may bring an individual claim in small-claims court for disputes within that court's jurisdictional limits, instead of arbitration, provided the claim remains in that court and is not removed or appealed to a higher court.

16.5 No class actions; non-severability of the class waiver

Arbitration must be conducted on an individual basis only. You and Parasocials each waive any right to participate in a class, collective, or representative proceeding.

Non-severability of the class waiver. If the class-action waiver in this section is held unenforceable in any particular case, the entire arbitration agreement (other than this sentence and the small-claims carve-out in Section 16.4) shall be void with respect to that case, and the dispute shall proceed in court — but the remaining provisions of these Terms will remain in full force and effect.

16.6 Arbitration fees

If a court or arbitrator determines that the cost of arbitration is prohibitive for you under the AAA Consumer Arbitration Rules, Parasocials will pay the reasonable arbitration filing and administrative fees that exceed what you would have paid in court for an equivalent dispute.

16.7 Right to opt out of arbitration

You may opt out of this mandatory-arbitration agreement by emailing [email protected] with the subject line "Arbitration Opt-Out" within 30 days of first agreeing to these Terms (or of any material change to this Section 16). Opting out preserves your right to pursue disputes in court but does not affect the other provisions of these Terms.

16.8 Court fallback jurisdiction

Where arbitration does not apply, you and Parasocials agree to the exclusive jurisdiction of the state and federal courts located in Maryland, United States, and waive any objection to venue in those courts.

16.9 Governing law

These Terms are governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict-of-laws principles, except where applicable consumer-protection law of your home jurisdiction grants non-waivable rights that prevail.

17. Force majeure

Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, riot, civil unrest, government action, pandemic or public-health emergency, fire, flood, earthquake, internet or telecommunications outages, denial-of-service attacks, and third-party service failures (including but not limited to outages of Twitch, Discord, Stripe, Cloudflare, or any other vendor we rely on).

18. International users

Parasocials is operated from the United States. If you access the Service from outside the United States, you do so at your own initiative and are responsible for compliance with local laws.

Where applicable consumer-protection law of your home jurisdiction (for example, EU or UK consumer law) grants you mandatory non-waivable rights, those rights are preserved and prevail over conflicting provisions of these Terms.

19. Changes to these Terms

We may update these Terms periodically. The "Last updated" date at the top of this page reflects the most recent revision. For material changes — including changes to the dispute-resolution section, pricing structure, content license grants, or limitation of liability — we will provide reasonable advance notice, typically by email to the address associated with your account and/or by prominent in-app notice, at least 30 days before the change takes effect, where reasonably practicable.

Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms. If you do not agree to an update, you must stop using the Service and may close your account.

20. Miscellaneous

Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.

Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced in these Terms, constitute the entire agreement between you and Parasocials regarding the Service and supersede any prior agreements.

No assignment by you. You may not assign, transfer, or delegate any rights or obligations under these Terms without our prior written consent. Any attempted assignment without such consent is void.

Assignment by us. Parasocials may assign these Terms, including to a successor entity, in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.

Headings. Section headings are for convenience only and have no legal effect.

Notices to us. Any legal or other notices to Parasocials should be sent to [email protected].

Notices to you. We may give notice to you by email to the address associated with your account, by in-app notice, or by posting to the Service.
